Terms of Service

These Terms of Service ("Terms") govern your access to and use of the InvoicingAPI service ("Service"), provided by InvoicingAPI ("we," or "us"). The Service offers a software-as-a-service (SaaS) platform that allows users to generate customizable and tailored invoices through API calls. By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms, whether you are a registered user or just visiting. If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
InvoicingAPI provides a software-as-a-service (SaaS) platform that allows users to generate customizable and tailored invoices through API calls. The Service includes various features and functionalities to assist users in creating and managing invoices efficiently.
3. Registration and User Accounts
In order to access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
You must be at least 18 years old to register for an account and use the Service.
4. Use of the Service
You agree to use the Service only for lawful purposes and in accordance with these Terms.
You are solely responsible for all content, data, and information that you upload, transmit, or otherwise make available through the Service ("User Content"). You retain all ownership rights to your User Content.
You agree not to use the Service to:
- Violate any applicable laws or regulations;
- Infringe upon the rights of others;
- Transmit any viruses, malware, or other harmful code;
- Interfere with or disrupt the integrity or performance of the Service;
- Attempt to gain unauthorized access to any portion of the Service or its related systems or networks.
- InvoicingAPI reserves the right to suspend or terminate your access to the Service at any time, with or without cause, and without prior notice.
5. Fees and Payment
The use of certain features of the Service may require payment of fees. You agree to pay all fees associated with your use of the Service as specified on the InvoicingAPI website or as otherwise communicated to you.
All fees are non-refundable unless otherwise specified.
InvoicingAPI reserves the right to change its fee structure and pricing at any time, with or without notice.
You may cancel paid use of the Service at any time. You will retain access to the paid for services until the billing period ends.
6. Intellectual Property
All intellectual property rights in the Service, including but not limited to copyrights, trademarks, trade secrets, and patents, are owned by InvoicingAPI or its licensors.
You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your internal business purposes.
You retain all ownership rights to your User Content.
7. Privacy
Your use of the Service is subject to the InvoicingAPI Privacy Policy, which is incorporated into these Terms by reference.
By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.
8. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied.
InvoicingAPI does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
InvoicingAPI makes no representations or warranties about the accuracy, completeness, or reliability of any content or information provided through the Service.
9. Limitation of Liability
In no event shall InvoicingAPI or its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or lost data, arising out of or in connection with your use of the Service.
In no event shall the total liability of InvoicingAPI and its affiliates, officers, directors, employees, or agents exceed the amount paid by you to InvoicingAPI for the use of the Service during the twelve (12) month period immediately preceding the event giving rise to the liability.
10. Indemnification
You agree to indemnify, defend, and hold harmless InvoicingAPI and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service or your violation of these Terms.
11. Modifications to Terms
InvoicingAPI reserves the right to modify or update these Terms at any time, with or without notice. Your continued use of the Service after any such modifications or updates constitutes acceptance of the revised Terms.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Cyprus, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be exclusively resolved by the courts located in Cyprus.
13. Miscellaneous
These Terms constitute the entire agreement between you and InvoicingAPI regarding your use of the Service and supersede any prior agreements or understandings.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be interpreted to give maximum effect to its intended purpose, and the remaining provisions shall continue in full force and effect.
The failure of InvoicingAPI to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
